Introduction

Welcome to the Matcha Mob Referral Program, powered by Social Snowball. This program is designed to reward our valued affiliates for referring new customers to our products and services. By participating in this program, you agree to comply with these Terms and Conditions. Please read them carefully.

Eligibility

1. To be eligible for participation in the Matcha Mob Referral Program, applicants must be 18 years or older and have an active and valid method of payment reception.

2. Nami Matcha reserves the right to approve or reject any application to the program at its sole discretion.

Program Participation

1. Affiliates will receive a unique referral code and/or link to share with potential new customers.

2. Commissions are earned on qualifying sales that are directly attributable to the affiliate's referral code or link.

3. Affiliates are responsible for ensuring their referral methods comply with all applicable laws and regulations, including FTC disclosure requirements.

Commission and Payments

1. Commission rates are subject to change at Nami Matcha's discretion. Affiliates will be notified of any changes.
   
   
2. Minimum Payout Threshold: Commissions will only be paid out once an affiliate's account balance reaches $100. Balances below this threshold will be carried forward to subsequent periods until the minimum is reached.
   
   
3. Nami Matcha retains sole discretion in determining whether to process commission payouts. We reserve the right to delay, withhold, or deny payment for any reason, including but not limited to suspected fraud, terms violations, or quality concerns.
    
4. Unless agreed upon prior to sharing of referral link and code, all commission payouts will be issued as store credit to be used at namimatcha.com. 
   
   
5. Payments of commissions are contingent upon the collection of funds from the referred customer. Returned or canceled sales will result in the deduction of the corresponding commission from the affiliate's balance.
   
   
6. All commissions are subject to review and verification by Nami Matcha. This process is to ensure the integrity of the Affiliate Marketing Program and may include the delay or withholding of payment while an investigation is conducted.
   
   
7. Commissions deemed to be earned through fraudulent, illegal, or overly aggressive, questionable sales or marketing methods will be voided.
   
   
8. Payment processing may take up to 30 business days after the minimum payout threshold is reached and all verification processes are complete.

Coupon and Deal Sites

1. Posting on coupon websites, such as CouponBird and Honey, is strictly prohibited. Affiliates found to be sharing or allowing their codes to be posted on such sites will be subject to immediate termination from the program and forfeiture of any pending commissions.

2. Affiliates are encouraged to report any unauthorized use of their codes to Nami Matcha for investigation.

Prohibited Activities

Running paid ads on social platforms such as Meta, Google and Tiktok is strictly prohibited. Affiliates found to be promoting their codes via paid media will be subject to immediate termination from the program and forfeiture of any pending commissions.

Affiliates may not engage in the following activities:

1. Bidding on Nami Matcha brand terms or trademarked terms in paid search campaigns (Google Ads, Bing Ads, etc.)

2. Creating misleading or false advertising regarding Nami Matcha products

3. Using spam or unsolicited communications to promote referral links

4. Impersonating Nami Matcha or representing themselves as official representatives without authorization

5. Self-referrals to artificially inflate commissions

6. Using referral links on cashback sites or apps without prior written approval

FTC Compliance and Disclosure Requirements

1. Affiliates must clearly disclose their affiliate relationship with Nami Matcha in accordance with FTC guidelines.

2. Disclosures must be clear, conspicuous, and placed before the affiliate link (e.g., "#ad", "#affiliate", "I earn commission from this link").

3. Failure to comply with FTC disclosure requirements may result in immediate termination and forfeiture of commissions.

Product Claims and Representations

1. Affiliates may not make unsubstantiated health claims or medical claims about Nami Matcha products.

2. All product representations must be truthful and consistent with information provided by Nami Matcha.

3. Affiliates should direct customers with specific health questions to consult healthcare professionals.

Intellectual Property

1. Affiliates may not alter any brand assets provided by Nami Matcha without prior written consent.

2. All promotional materials, including but not limited to images, logos, and slogans, must be used in a manner that is respectful and consistent with Nami Matcha brand guidelines.

3. Upon termination, affiliates must immediately remove all Nami Matcha content from their platforms and cease all promotional activities.

Brand Protection

1. Affiliates must maintain content quality standards that align with Nami Matcha's brand aesthetic and values.

2. Nami Matcha reserves the right to request removal of any content that does not meet brand standards or could be damaging to our reputation.

Tax Responsibilities

1. Affiliates are solely responsible for reporting and paying any applicable taxes on commission earnings.

2. Nami Matcha will issue tax forms (such as 1099-MISC) as required by law for U.S.-based affiliates meeting the earnings threshold.

Termination

1. Either party may terminate the affiliate relationship at any time with or without written notice.

2. Upon termination, the affiliate must cease all use of Nami Matcha branding, promotional materials, and referral links or codes.

3. Nami Matcha reserves the right to terminate affiliate accounts without notice for violations of these terms. Upon termination for cause, any pending commissions may be forfeited.

4. Affiliates who voluntarily terminate their account will receive payment of earned commissions only if the balance meets the minimum payout threshold at the time of termination.

Data and Privacy

1. Affiliates agree not to misuse any customer data accessed through the program.

2. All customer information must be handled in compliance with applicable privacy laws and Nami Matcha's Privacy Policy.

Limitation of Liability

Nami Matcha will not be liable for indirect, special, or consequential damages, or any loss of revenue, profits, or data arising in connection with this Agreement or the Affiliate Program, even if we have been advised of the possibility of such damages. Our total liability to any affiliate shall not exceed the total commissions earned by that affiliate in the 12 months preceding the claim.

Amendment

Nami Matcha reserves the right to update and change these Terms and Conditions from time to time without notice. Material changes will be communicated to active affiliates via email. Continued participation in the program after such changes shall constitute your consent to such changes.

Agreement

By participating in the Matcha Mob Referral Program, you agree to abide by these Terms and Conditions. You understand that violation of any terms may result in the termination of your participation in the program and forfeiture of any accrued commissions.
